The following terms and conditions, together with any documents they expressly incorporate by reference (collectively "Terms of Conditions"), govern your using of the Services, including access to and use of this Application (APP), website and/or Our other Digital Platforms (collectively “Digital Platforms”), and in connection with any content, functionality, marketing materials, potential business opportunities, and services offered on or through the Digital Platforms.

You represent and warrant that you are the legal age of majority under applicable law to form a binding contract with us; and you agree if you access the Digital Platforms from a jurisdiction where it is not permitted, you do so at your own risk.‍

You agree to defend, indemnify, and hold harmless us, our parent, subsidiaries, affiliates, and our respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms of Conditions or your use of the Services or the Digital Platforms including, but not limited to, third-party sites and content, any use of the Digital Platforms' content and Services other than as expressly authorized in these Terms of Conditions

Removal and Suspension

If we discover, or it is reported to us by any party, that your use of our Services or your content violates these Terms and Conditions, any applicable law, or any other values we uphold, we reserve the right, at our sole discretion, to remove such content, suspend or terminate your account, or halt any activities associated with your account or contacts. If required by law or requested by any legal authority, we will disclose your information or content to the government or the court.

Disputes and Jurisdiction

Any dispute or conflicts arising out of or in connection with the Digital Platforms or the goods and Services provided by us (“Disputes”) shall be exclusively governed by and interpreted in accordance with the laws of the State of California, USA, without regard to its conflict of laws principles. The parties irrevocably consent to the exclusive jurisdiction of the state and federal courts located in the State of California, USA, for any actions, suits, or proceedings arising out of or relating to the Disputes. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE DIGITAL PLATFORMS MUST BE COMMENCED WITHIN 1 YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

We reserve the right to amend the Terms and Conditions at our discretion. In the event of any modifications to the Terms and Conditions, we will post an updated version on the Digital Platforms. Your continued use of our Services following the posting of changes will constitute your acceptance of such changes.
